Prada Acquires Versace For $1.3 Billion: Fashion’s Biggest Plot Twist Yet
Italian luxury fashion house Prada has officially finalised its purchase of longstanding Milanese rival Versace, sealing a cash deal worth $1.375 billion.
The takeover was finalised on December 2, 2025, a date loaded with symbolism as it would have marked the 79th birthday of Versace's legendary founder.
Why This Deal Matters
Two Icons, One House
Prada and Versace represent two different pillars of Italian high fashion. While Prada has long been appreciated for its refined, minimalistic 'quiet luxury,' Versace is all about bright, maximalistic style, flamboyant prints, sensual cuts, and unrepentant glamour.
By bringing them under one roof, Prada is building a more diversified luxury group capable of spanning contrasting aesthetics and audiences.
Strategic and Financial Rationale
- Prada first announced the deal in April 2025, agreeing to acquire 100% of Versace from US-based Capri Holdings for an enterprise value of €1.25 billion (≈ $1.375 billion), subject to closing adjustments.
- For Capri Holdings, which had acquired Versace in 2018, the sale will help deleverage its balance sheet and focus resources on other brands.
- Prada sees the acquisition as strengthening its position in global luxury. It believes that Versace's brand equity, combined with Prada's manufacturing and operational infrastructure, presents a potent mix for future growth.
- The deal strengthens Prada's position in global luxury. The company is of the view that the brand equity of Versace, coupled with Prada's manufacturing and operational infrastructure, presents a potent mix for future growth.
A Symbolic Closing: Honouring a Legacy
The deal closing on what would have been Gianni Versace's 79th birthday is a symbolic touch, almost like a quiet tribute to the house's legacy.
Donatella Versace marked the moment on social media, writing that it was the day Versace "joins the Prada family," and reflecting on what her brother's reaction might have been.
What's Next: Integration, Rebirth and Challenges
- Keep the DNA, leverage infrastructure: Prada says Versace will retain its creative identity even as it taps into Prada's industrial capabilities, retail reach and craftsmanship.
- Leadership & creative direction: Under the new arrangement, Prada heir Lorenzo Bertelli, already part of Prada's leadership, will oversee Versace's next phase.
- Short-term pains, long-term vision: Analysts said a decline in profitability was likely while inventory is cleared and operations are aligned. But the goal is ambitious: reposition Versace, revive its distinct glamour, and unlock long-term value.
What the Consolidation Means for the Luxury Fashion Landscape
This isn't just a merger that reshapes two big houses; this is a signal that high-end fashion may shift. Prada could be setting the template for future consolidation in the luxury segment by putting very different styles under one banner.
For Versace, the deal is a lifeline-a chance to reclaim relevance in a shifting market. For Prada, it's a bold gamble in marrying opposites, doubling down on "Made-in-Italy" and stacking the deck against global fashion conglomerates.
If Prada plays its cards well, this "new Italian powerhouse" may well define the next era of luxury fashion.
